Service Contract

The Parties

This Service Contract (the “Agreement”) made on [ / / (MM/DD/YY)] is by and between:
Service Provider: Kiki The Organizer (the “Service Provider”), and Client: [ ] (the “Client”).
The Service Provider and the Client are each referred to as a “Party” and, collectively, as the “Parties.”

Service Agreement

IN CONSIDERATION of the provisions contained in this Agreement and for other good and valuable

consideration, the Client hires the Service Provider to work under the terms and conditions hereby agreed upon by the Parties:

By responding to this communication with any of the following phrases (or similar language) "I accept," "I agree," or any confirmation indicating your understanding and acceptance, you acknowledge and agree to be bound by our Home Organizing Services Agreement. This agreement encompasses our terms, pricing, payment terms, cancellation policy, and other pertinent terms.

Term

The term of this Agreement shall commence on [ /. / (MM/DD/YYYY)] and terminate upon the completion of the services OR either party providing 2 days’ notice to the other.

Payment Terms

KTO requires prepayment for services via cash or having a credit card on file. We will bill you for the exact hours upon completion of the project, and we expect the Client immediate payment. In case neither option is available, such as a declined credit card, you have 15 days to rectify the charges. Beyond this period, KTO reserves the right, at its discretion, to engage the services of a collections agency, utilizing all available legal remedies. We are a small business and greatly appreciate your compliance with this policy. Rest assured, we adhere to all personally identifiable information (PII) policies and banking procedures.

Cancellation Policy

Our cancellation policy clearly outlines the notice required for cancellations and any associated fees related to late cancellations.

Confidentiality

At KTO we uphold the highest standards of confidentiality regarding your personal items and information. Our team undergoes thorough background checks to safeguard your privacy.

We have established policies to address any disruptions to our services, including the right to terminate the contract under specific circumstances.

Disruption of Services

Replacement at Fair Market Value (Excluding Sentimental Value)

KTO (Food Intelligence Agency LLC) takes significant care and attention throughout the entire process. However, if in the course of our work, we damage your property, we are committed to replacing or repairing the damaged items at their fair market value, excluding any consideration of sentimental value. Both parties agree to obtain and consider credible valuations or assessments to determine the fair market value, taking into account relevant market conditions, prevailing prices, and any applicable depreciation. This clause ensures that the replacement process is conducted fairly and equitably while excluding any subjective considerations related to sentimental value.

Independent Contractor Status

The Service Provider, under the code of the Internal Revenue (IRS), is an independent contractor, and neither the Service Provider’s employees nor contract personnel are or shall be deemed, the Client’s employees.

The provisions of this Agreement shall be binding upon and inure to the benefit of heirs, personal representatives, successors, and assigns of the Parties.

Successors & Assigns

Default

In the event of default under this Agreement, the defaulted Party shall reimburse the non-defaulting Party or Parties for all costs and expenses reasonably incurred by the non-defaulting Party or Parties in connection with the default, including, without limitation, attorneys’ fees.

This Agreement shall be governed under the laws in the State of California.

Governing Law

This Agreement shall remain in effect in the event a section or provision is unenforceable or invalid.

Severability

IN WITNESS WHEREOF, the Parties hereto agree to the above terms and have caused this Agreement to be executed in their names by their duly authorized officers.
